These Terms of Service ("Terms") govern your use of Baylo ("the Service"), operated by Mindspar Limited, a company registered in England and Wales (company number 17148103) ("we", "us", "our"). By using Baylo you agree to these Terms. If you do not agree, do not use the Service.

1. What Baylo Is

Baylo is an AI-powered reminder and notification service. It allows you to create, manage, and receive reminders and notes using natural language, voice, and images, including in the app and optionally via WhatsApp when you link your number. You can optionally forward emails to Baylo, share reminders as calendar invites by email, and import events from external calendars. The Service uses third-party AI models to process your instructions; some reminders can watch a web page and notify you when conditions you describe are met. Some features may also generate images (for example meal recipe photos) using third-party image models.

2. Eligibility

You must be at least 13 years old to use Baylo. By using the Service you confirm that you meet this requirement. If you are under 18, you should have your parent or guardian's permission.

3. Your Account

You sign in to Baylo using Google OAuth or email authentication. You may optionally link a WhatsApp number to your account so we can send and receive reminder-related messages on that channel. You may optionally connect email forwarding, calendar import, and similar features described in our Privacy Policy. You are responsible for keeping your account secure and for any activity on WhatsApp messages sent from your linked number. You must not share your account with anyone else. We are not liable for any loss resulting from unauthorised access to your account.

4. Acceptable Use

You agree not to use Baylo to:

  • Violate any applicable law or regulation
  • Harass, threaten, or harm any person
  • Send spam or unsolicited communications
  • Attempt to gain unauthorised access to our systems or another user's account
  • Use the Service in a way that could damage, disable, or impair it
  • Reverse engineer, copy, or create derivative works of the Service
  • Use the Service to process the personal data of others without their consent

We reserve the right to suspend or terminate your account if you breach these rules.

5. AI-Powered Features

Baylo uses third-party AI models (from OpenAI, Anthropic, xAI, and Fal.ai) to process your instructions and generate reminders, notes, and in some cases images. These features are provided on a best-efforts basis. We do not guarantee that AI-generated outputs will be accurate, complete, or suitable for any particular purpose.

Some reminders can check web pages on your behalf and attempt to determine whether conditions you specify have been met. We cannot guarantee the accuracy of these checks, the reliability of third-party websites, or that notifications will be delivered at any particular time.

You should not rely on Baylo for any time-critical, safety-critical, or legally significant purpose.

6. Notifications

Reminder alerts are delivered on a best-efforts basis via push notifications, in-app notifications, and WhatsApp messages (when you link WhatsApp), using Twilio and WhatsApp's infrastructure where applicable. We do not send email when a reminder is due. Email is used for sign-in, inbound messages you send to Baylo, and calendar invites when you choose to share a reminder that way.

Delivery depends on your device, operating system, browser, network, WhatsApp, and third-party providers. We do not guarantee that any notification or message will be delivered at a specific time or at all.

7. Availability

We aim to keep Baylo available at all times but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, technical issues, or circumstances beyond our control. We are not liable for any loss caused by unavailability.

8. Your Content

You retain ownership of the reminders, notes, and other content you create in Baylo. By using the Service you grant us a limited licence to store, process, and transmit your content as necessary to provide the Service, including sending it to third-party AI and infrastructure providers as described in our Privacy Policy.

You are responsible for ensuring that your use of the Service does not infringe the rights of any third party.

9. Free Service

Baylo is currently provided free of charge. We reserve the right to introduce paid features or plans in future. If we do, we will give you reasonable notice before any free features become paid.

10. Intellectual Property

All intellectual property in the Baylo app, brand, and underlying technology belongs to us. Nothing in these Terms grants you any right to use our trademarks, logos, or other brand elements.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service, including but not limited to loss of data, missed reminders, or reliance on AI-generated outputs.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the lesser of £100 or the amount you paid us in the 12 months before the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited by law.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have breached these Terms or for any other reason at our discretion. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. Please check back periodically so you are aware of the current version. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. For significant changes we will notify you by email or via the app.

15. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
